COLLABORATING SCIENTIST AGREEMENT

This MDA Collaborating Scientist Agreement is provided with a binding Arbitration Provision and Class Action Waiver. It affects your Legal Rights as detailed in the Arbitration and Class Action Waiver section below.

Please, go through and read carefully. Please, note that your use of and access to the MDACI Global Project & Business Development (GPBD) platform (defined below) are subject to the following terms; if you do not agree to all the followings, you may not use or access the platform in any manner. Remember, the key point is to be a part of an MDA community in the field of your expertise for a mutual benefits.

1.      Acceptance of Agreement Terms

This Collaborating Scientist Agreement, hereinafter referred to as the "Agreement") is a binding legal agreement between you and MDA CAPITAL INVEST, A.S. (also called "MDACI," "we," "us," or "our"). MDACI is a Global Project & Business Development (GEBD) platform (the "Platform") that connects Users ("Customers") seeking answers to questions or looking for advanced solutions that help their project or business grow to sustainability and profitability with our registered qualified research associates or scientists (the "Researchers") who answer their questions or help them develop their businesses or projects to sustainability, bankability, fundability and profitability. Our registered Researchers may also voluntarily participate in the MDACI's internal innovation projects at no fee with mutual benefits or at an agreed fee, as the case may be. This Collaborating Scientist Agreement governs your use of all MDA's platforms, including mdamart.com, mdaglobalrealestate.com, mdabooks.com for free, applications, and other offerings from MDACI in your capacity as an MDA registered independent scientist.

By using or otherwise accessing the Platform as an MDA registered scientist, or clicking to accept or agree to this Agreement, you (1) accept and agree to the terms of this Agreement, MDA Scientist Community Guidelines, and all rules, policies, and disclaimers posted on the Platform or about which you are notified; and (2) consent to the collection, use, disclosure, and other handling of information as described in our Privacy Policy.

All references to "you" or "your," as applicable, mean the person who accesses, uses, and/or participates in the Platform in any manner, and each of your heirs, assigns, and successors. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of this Collaborating Scientist Agreement will be deemed an acceptance by that entity, and "you" and "your" herein shall refer to that entity, its directors, officers, employees, and agents.

2.     The Platform

The Platform is an MDACI online venue for informational, educational, entrepreneurial purposes and connects Customers with our registered Scientists. As a Global Project & Business Development Platform, MDACI's develop the right MDA Scientist Community Guidelines, Policies and Regulations, including User Terms and Conditions, Scientist Code of Conduct and Ethics to help our registers Scientist produce the best and most advanced development works and research reports, white papers and other related products and sell on MDACI Global Platform at the best deals. MDACI and its EU Consortium of Companies are also engaged in the business of developing its own internal projects, inclding innovation AI projects such as 1) AI MUDs Project (Modern Univeral Dictionaries - upbringing dictionaries), 2) DXPedia Project (Deep, Extensive Knowledge & Skills Development - an alternative advanced Wikipedia), 3)  DEEPQuest (Ask Me Anything - AMA).

Our registered and selected Scientists are responsible for the information, education and entrepreneurial advises, materials or services they provide to our customers on the Platform.

Once selected, you are an independent provider of services you represent and warrant. You are authorized to conduct the services contemplated in this Agreement in the location in which you operate. You further agree that you are not an employee of MDACI and its EU Consortium of Companies, and you understand that:

1. 1. you have sole discretion in selecting which Customer to work with and which tasks, including questions, research works, project developments, architectural designs, technical designs, installation works, or any other fields of your specialisation you want to do or undertake from those that are made available to you on the Platform.
   2. you may elect not to answer any questions or provide any advice or participate in any project or perform any task from Customers or from MDACI.
   3. you have sole discretion in controlling how you perform any services on the Platform. You further understand that site tools, MDACI's mobile application or any other tools (collectively, "Tools") offered by MDACI are optional, such Tools are purely offered for Scientist's convenience, and usage of such Tools is not mandatory. Without limitation, offered Tools may include methodology, large language models and artificial intelligence features (AI features) that Experts may at their option utilize to review, analyse, and provide suggestions for responding to Customer questions or perform any other given tasks. You have no obligation to use any Tools. Any Tools, made available to you, are otherwise offered on an as-is basis with no warranties of any kind. You shall remain solely responsible for the accuracy and content of your responses and compliance with this Scientist Agreement, regardless of whether you use the Tools made available to you.

Without limitation, offered Tools may include large language models and AI features that Experts may at their option utilize to review, analyse, and provide suggestions for responding to Customer questions, providing advisory services or performing any tasks like project development, engineering, procurement, installation, construction and management that are assigned to you. You do not have any obligation to use any Tool made available to you that is otherwise offered on an as-is basis with no warranties of any kind. You shall remain solely responsible for the accuracy and content of tasks and in compliance with this Research and Expert Agreement, regardless of whether you use the Tools made available to you.

No relationship (such as partnership, agent, joint venturer, or employee) between you and MDACI is created by this Agreement or your participation on the Platform. You acknowledge that you are not an employee or agent of MDACI but are, like Customers, only Users of the Platform. You shall act in accordance with this status and shall not hold yourself out as an officer, employee or agent of MDACI, nor make any claim based on any right or privilege applicable to MDACI's employees. Under no circumstances shall you look to MDACI as your employer, or as a partner, agent, or principal. Nothing regarding your participation on the Platform will be considered as an endorsement, referral or recommendation by MDACI of you or the services you provide and you will not, either on the Platform or in any other forum or by any other means, suggest such an endorsement. MDACI's primary is to make sure that that our registered Customers are fully satisfied from your services your provide under this platform.

We are not involved in the conversations you may engage in with Customers on the Platform. MDACI shall not be liable for:

1. 1. any acts or omissions by you;
   2. content in posts made by Users on the Platform, i.e. requests for information, responses, profiles, Researcher / Expert signatures, qualifications, comments, profile information, and posts in the Expert Forum and other places where Users communicate with one another (collectively, "Posts"); or
   3. the ability of Customers to pay for your services. You understand and agree that MDACI cannot ensure that a Customer will complete a transaction. You further understand and agree that Experts may not have access to all requests from Users, and that MDACI retains the right to route requests to Experts in its sole discretion.

EMERGENCY REQUEST AND CRISIS SITUATIONS (particularly regarding medical or mental health issues) should not be directed to the Platform and should, instead be directed immediately by telephone or in-person to qualified professionals (e.g., in Czechia, call 155 or in the EU, call 112). The Platform is not the appropriate venue to deal with such situations.

3.     Modification of Agreement or Platform

Except for Section 15, providing for binding arbitration and waiver of class action rights, MDACI reserves the right, at its reasonable and sole discretion, to modify or replace the terms of this Collaborating Scientist Agreement at any time. The most current version of this Agreement will be accessible through the Platform. You shall be responsible for reviewing and becoming familiar with any such modifications. If a revision to this Agreement, in our sole discretion, is material, we will notify you by contacting you either through the email address associated with your Account (as defined herein) or through a notice on the Platform. Except as otherwise stated by MDACI in writing, use of the Platform by you after any modification to this Agreement constitutes your acceptance of this Agreement as modified. If you do not accept the changes to this Agreement, your sole and exclusive remedy is to terminate your Account and discontinue use of the Platform.

MDACI reserves the right at any time to modify, suspend, discontinue, or terminate, temporarily or permanently, the Platform or associated services (or any part thereof), with or without notice.

4.     Eligibility & Account Creation

You hereby represent and warrant that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in this Collaborating Scientist Agreement and to abide by and comply with this Collaborating Scientist Agreement. Only individuals who are at least 18 years old and can form legally binding contracts under applicable law are permitted to apply to be or participate on the Platform as a Collaborating.

In order to prevent fraudulent use of the MDACI membership program by Customers, Customers who have purchased memberships are ineligible to participate as Collaborating Experts on MDACI during the term of their membership, as are their immediate family members (spouse, parent, child, sibling and spouse or "step" of each) and those living in the same households (persons, whether related or not, who lived in the same residence as the member for at least three (3) months during the twelve (12)-month period preceding the start of the MDACI membership).

By registering as a Collaborating Scientist, you represent and warrant that you are properly and fully qualified and experienced, and licensed and insured as required by applicable laws or regulations to which you may be subject, in the jurisdiction(s) in which you provide the services.

You must create a Collaborating Scientist account ("Account") to access certain features of the Platform, such as selecting requests, including questions from Customers to respond to. To create an Account, you must provide us with certain information about you, such as your name, surname, email address, phone number, and area of expertise. You will also be required to select a username and password. You agree to provide accurate, current, and complete information during the Account registration process and at all other times when you use the Platform, and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your Account password. You are solely responsible for all activity that occurs on your Account, and you will notify MDACI immediately of any unauthorised use. For clarity, MDACI is not liable for any losses by any party caused by an unauthorized use of your Account. Your Account is nontransferable except with MDACI's written permission and in line with MDACI policies and procedures. If any MDACI account of yours has been suspended or terminated, you may not open another account on the Platform.

As agreed by applicable law, we may: 

1. 1. ask you to provide identification or other information,
   2. undertake checks designed to help verify your identity or background,
   3. screen you against third-party databases or other sources and request reports from service providers,
   4. request and obtain information about your professional credentials, and
   5. otherwise request information or obtain information about you to protect the safety and security of the Platform, MDACI, other Users, and the public.
