What is the Information Memorandum?
The IM of a Project is a comprehensive document outlining a project's goals, financial viability, risks, and team expertise to attract investment. It acts as a marketing tool and feasibility overview, containing details like project's scope, forecasts, strategy, financial viability, market, management team, risks, growth projections, ROI, and in construction contexts, site hazards, zoning, and utilities. It is used to secure funding or approval. There are two types of IMs: Investment / Project Finance and Property / Debelopment.
Main Aspects of an IM
- Purpose. Inform potential investors or lenders to make informed decisions by outlining risks and benefits.
- Contents. Executive summary, market analysis, financial projections (P&L, cash flow), risk mitigation, and transaction structure.
- Construction/Property IM. A specific, often voluntary, report from local authorities detailing site constraints like hazards, utility locations (water/sewage), and required licences, permits & approvals.
- Distinction from Pitch Deck. An IM is a highly detailed, formal document (sometimes up to 100 pages), whereas a pitch deck is a high-level visual presentation.
